1. Introduction

These Terms of Service (“TOS”) govern the use of services provided by Known Digital Agency, LLC (“Known Creative,” “we,” or “us”). By engaging our services, you agree to be bound by these terms. If you disagree with any part of these terms, please do not use our services.

These TOS, alongside our Fee Schedule and any signed agreements or invoices, constitute the entire agreement between Known Creative and the client (“you”).

3. Scope of Services

Known Creative provides the following services (“Services”):

• Website Design: Custom web design projects tailored to your business goals. Includes a defined development schedule and deliverables as agreed.

• Content Creation & SEO: Monthly retainers for blog writing, SEO optimization, and related services.

• Website Support: Monthly retainer for up to 1 hour of website updates and support. Time does not roll over.

• Wizard Sessions: Dedicated blocks of time for specific tasks (e.g., One Day Wizard, Two Day Wizard).

The scope of each service will be outlined in separate agreements, proposals, or invoices, and may refer to our Fee Schedule for additional details.

4. Payment Terms

4.1 General Payment Terms

• Payments are due as outlined in the service agreement or invoice.

• For recurring services, payments will be charged monthly on the date of subscription sign-up unless otherwise specified.

• All payments are non-refundable once work has commenced, unless explicitly stated otherwise.

4.2 Late Fees

• Payments not received within 14 days of the due date may incur a late fee of 5% of the outstanding balance per week until paid in full.

• For invoices exceeding 30 days overdue, services may be suspended, and reactivation fees as outlined in our Fee Schedule may apply.

4.3 Refunds

• Refunds are not provided for completed work or delivered services due to the digital nature of our work.

• For prepaid retainers or unstarted projects, refunds may be issued on a case-by-case basis upon written request.

5. Client Responsibilities

To ensure the success of your project, you agree to:

• Provide all required content, feedback, and approvals in accordance with the agreed schedule.

• Respond promptly to communication from Known Creative.

• Meet all deadlines for deliverables on your end.

Missed deadlines may result in:

• Your project being rescheduled to the next available slot in our development calendar.

• A rescheduling fee of $250.

• Reactivation fees of 10% of the total project cost for delays exceeding 45 days.

6. Late Fees and Penalties

Late submissions or delays caused by the client may impact the project schedule and incur additional costs, including but not limited to:

• Reactivation fees: $500 per delayed phase or 10% of the total project cost (whichever is greater).

• Overtime fees for exceeding the agreed-upon service window: $250/hour.

Fees are outlined in the Fee Schedule and are subject to change with prior notice.

7. Website Support Membership

• Includes up to 1 hour of support per month for website updates, content changes, or minor design adjustments.

• Time does not roll over to future months.

• Recurring payments will be processed automatically. A 30-day notice is required for cancellation.

• Additional support hours beyond 1 hour/month are billed at our hourly rate, as outlined in the Fee Schedule.

8. Wizard Sessions

• Wizard Sessions are time-based services (e.g., One Day Wizard) where we focus on pre-defined goals for your website or marketing.

• Any delays or cancellations within 48 hours of the session may result in forfeiture of the session fee or rescheduling penalties.

9. Intellectual Property

• You retain ownership of all content you provide.

• Upon full payment, ownership of the completed website or deliverables is transferred to you.

• Known Creative retains the right to use completed projects in our portfolio or marketing materials unless explicitly prohibited in writing.

10. Hosting and Security

All hosting and security for websites are managed by Squarespace. Known Creative is not liable for issues related to hosting, server downtime, or third-party security breaches.

11. Limitation of Liability

To the maximum extent permitted by law, Known Creative shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data.

12. Updates to Terms of Service

Known Creative reserves the right to update these TOS at any time. Clients will be notified of any significant changes. Continued use of our services constitutes acceptance of the revised terms.
